From Formation to First Financing: Building a Strong Foundation for Foundation for Startup Growth

Program Overview:
The decisions made at formation can have lasting implications for a startup’s ability to raise capital and scale successfully. This program will provide a practical overview of the legal and strategic considerations involved in forming and financing an early-stage company, including entity selection, founder equity and vesting, intellectual property ownership, capitalization and governance. We will also touch on common structures for early financing rounds—including SAFEs, convertible notes, and preferred stock financings—and highlight key terms, recurring pitfalls and practical considerations for founders and investors.
